Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the Autopublish AI software-as-a-service platform available at autopublish.brandesia.com, together with the Autopublish AI WordPress plugin and related applications and APIs (collectively, the “Platform” or “Services”), operated by Brandesia LLP (“Brandesia”, “we”, “us” or “our”). By registering for, accessing or using the Services, you (“Subscriber”, “you” or “your”) agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Definitions

“Subscriber” means the business or individual that registers for an account. “User” means any person the Subscriber authorises to use the Services. “Connected Site” means a WordPress website on which the Subscriber installs and activates the plugin using a licence key. “Subscriber Data” means data entered into or generated through the Platform by the Subscriber or its Users, including topics, keywords, prompts, generated articles and images, and the details of Connected Sites. “Licence Key” means the credential issued on purchase that authorises one Connected Site.

2. Eligibility & Account

You must be at least 18 years old and legally capable of entering into a binding contract. You are responsible for maintaining the confidentiality of your login credentials and Licence Key, and for all activity under your account. You agree to provide accurate, current and complete information and to keep it updated. Brandesia may verify, suspend or refuse any registration at its discretion.

3. Licence Keys & Connected Sites

Each Licence Key authorises use on one Connected Site at a time, unless your plan expressly states otherwise. A Licence Key becomes bound to the first site on which it is activated. Sharing, reselling or using a single Licence Key across multiple sites is a breach of these Terms. If you need to move a licence to a different site, contact support@brandesia.com.

When a subscription lapses, expires or is revoked, the plugin stops generating and publishing content on the Connected Site. Articles already published to your site remain on your site and are unaffected.

4. Subscriptions & Fees

Access to the Services is provided on a subscription basis. Applicable fees, billing term and inclusions (including any limit on articles, topics or sites) are those displayed at the time of purchase.

Fees are quoted in the currency shown at checkout, which may be Indian Rupees (INR) or another currency depending on your location. The currency and amount actually charged are those confirmed on the checkout screen. Where a plan is not priced in your local currency, the checkout will state the currency you will be billed in. Fees are exclusive of applicable taxes unless stated otherwise; GST is charged as required by law.

Payments are collected through our third-party payment processor (Razorpay). By purchasing, you authorise us to charge the applicable fees to your selected payment method. Where auto-renewal is offered and enabled, subscriptions renew for the same term unless cancelled before the renewal date as described in our Cancellation & Refund Policy.

5. AI Providers & Your Own Keys

The Services generate content using third-party AI providers. You supply your own API keys for those providers. You are responsible for the cost of your provider usage, for compliance with each provider’s terms, and for the consequences of any key you supply. Brandesia is not responsible for the availability, pricing, output or acts of third-party AI or image providers, nor for any suspension of your account by them.

Content generated through the Services is produced by these providers at your direction and on your instructions. You are responsible for reviewing it before it is made public.

6. Acceptable Use

You agree that you and your Users will not:

  • use the Services for any unlawful, fraudulent, infringing or harmful purpose;
  • generate or publish content that is defamatory, obscene, hateful, misleading, or that infringes the intellectual property or privacy rights of others;
  • use the Services to produce content at scale for the purpose of deceiving search engines or readers as to its origin or accuracy;
  • attempt to gain unauthorised access to the Platform, other Subscribers’ data, or its underlying systems;
  • reverse-engineer, copy, resell, sublicense or create derivative works of the Platform or the plugin;
  • share, resell or reuse a Licence Key across sites beyond your plan’s entitlement;
  • introduce malware, or interfere with or disrupt the integrity or performance of the Services.

7. Subscriber Data & Responsibilities

As between the parties, the Subscriber owns its Subscriber Data, including the articles and images generated for it through the Services. You grant Brandesia a limited licence to host, process and transmit Subscriber Data solely to provide and support the Services.

You are solely responsible for content published to your site. The Services can publish automatically and without prior review if you configure them to do so. You are responsible for the accuracy, legality and quality of everything published under your name, for any editorial or disclosure obligations that apply to you, and for the security of the WordPress site you connect.

8. Intellectual Property

The Platform, including all software, design, text, graphics and trademarks, is and remains the exclusive property of Brandesia LLP and its licensors. Except for the limited right to use the Services during your subscription, no rights are granted to you. “Brandesia”, “Autopublish AI” and associated logos are marks of Brandesia LLP and may not be used without prior written permission.

9. Service Availability

We strive to keep the Services available but do not guarantee uninterrupted or error-free operation. The Services may be temporarily unavailable due to maintenance, updates, or factors beyond our reasonable control, including outages at third-party AI providers, hosting providers or your own website. Features are provided on an evolving basis and may be added, modified or discontinued.

10. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement.

AI-generated content may contain inaccuracies, fabricated statements or material that resembles existing works, and must be reviewed by you before publication. Brandesia does not warrant its accuracy, originality, completeness or suitability, and gives no warranty as to search-engine ranking, traffic, indexing or any commercial outcome.

11. Limitation of Liability

To the maximum extent permitted by law, Brandesia LLP, its partners, employees and affiliates shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill, search ranking or reputation. In all cases, the total aggregate liability of Brandesia arising out of or relating to the Services shall not exceed the amount of fees actually paid by you to Brandesia in the three (3) months preceding the event giving rise to the claim.

12. Indemnity

You agree to indemnify and hold harmless Brandesia LLP from and against any claims, damages, liabilities and expenses (including reasonable legal fees) arising out of your Subscriber Data, content published through your account, your use of the Services, or your breach of these Terms or of any law.

13. Suspension & Termination

We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or use the Services in a manner that risks harm to Brandesia, other Subscribers or third parties. You may stop using the Services at any time as described in our Cancellation & Refund Policy. Upon termination, your right to use the Services ceases and the plugin will stop producing content; we may delete Subscriber Data after a reasonable retention period.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Subject to applicable law, the courts at the registered place of business of Brandesia LLP in India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via the Platform or by email. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
